1. Introduction

Welcome to TorqueBase, an app designed for automotive, motorcycle, and 4x4 enthusiasts to connect, discover events, and navigate to gatherings. By accessing or using TorqueBase, you agree to comply with these Terms and Conditions. If you do not agree, you must discontinue use immediately.

2. Eligibility

You must be at least 17 years old to use TorqueBase.
By accessing or using TorqueBase, you represent and warrant that you are 17 years of age or older.
If you are 17 years of age in your country/region, you confirm you have permission from a parent or legal guardian to use TorqueBase where required by law.
You may not use TorqueBase if you have been previously banned.

3. Account Registration and Responsibilities

You must provide accurate and up-to-date information when creating an account.
You are responsible for maintaining the confidentiality of your account credentials.
You agree to notify us immediately of any unauthorised use or security breach.

4. Prohibited Activities

When using TorqueBase, you agree not to:

Engage in illegal activities, reckless driving, or unauthorised racing.
Post, share, or distribute offensive, defamatory, or unlawful content.
Harass, abuse, or threaten other users.
Attempt to hack, scrape, or exploit the platform.
Use bots, scripts, or automated systems to access the app.
Impersonate another person or misrepresent affiliations.
Share, sell, or transfer your account to another party.

We reserve the right to suspend or terminate accounts engaging in prohibited activities.

5. Events and Third-Party Liability Disclaimer

TorqueBase does not organise user-hosted events.
Users participate in events at their own risk.
TorqueBase is not responsible for injuries, vehicle damage, legal issues, or financial loss.
Users must independently verify event details and take necessary safety precautions.

6. Location and Navigation Services

The app requires GPS access for event navigation and personalised recommendations.
By enabling location services, you consent to the collection, processing, and use of your real-time location.
You may disable location tracking, but this may impact app functionality.

7. User-Generated Content

Users retain ownership of their content but grant TorqueBase a non-exclusive, worldwide, royalty-free license to use, modify, distribute, and display it within the app and associated platforms including website and social media accounts of TorqueBase.
TorqueBase may remove content that violates community guidelines.

8. Intellectual Property Rights

All software, trademarks, logos, and content within TorqueBase are owned or licensed by TorqueBase.
Unauthorised use, reproduction, modification, or distribution of TorqueBase content is strictly prohibited.

9. Account Suspension and Termination

We reserve the right to:

Suspend, restrict, or terminate accounts that violate these Terms.
Remove content that is inappropriate or unlawful.
Report unlawful activities to relevant authorities.

10. Data Protection and Privacy

Your data is handled in accordance with our Privacy Policy.
We implement security measures to protect user information.

11. Limitation of Liability

To the maximum extent permitted by Australian law, TorqueBase is not liable for:

Personal injury, accidents, or vehicle damage resulting from app use or event participation.
Data breaches, hacking, or unauthorised access.
Loss of data, profits, or any indirect, incidental, or consequential damages.
Any third-party content, services, or external links.
Any Buy&Sell listing, transaction, payment arrangement, shipping arrangement, dispute, or in-person meetup between users.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia.
Disputes: Users must first attempt to resolve disputes informally by contacting admin@torquebase.com
Formal Resolution: If unresolved, disputes must be brought before the courts of New South Wales, Australia.

13. Third-Party Services and Integrations

TorqueBase integrates with Google Maps, Apple Maps, and social login providers.
These third-party services collect and process data per their own privacy policies.

14. Business and Advertising Subscriptions

Businesses may subscribe to list and attend events.
TorqueBase does not endorse or verify businesses.

15. Buy&Sell Marketplace

Buy&Sell is a feature that allows users to browse listings, post listings, and communicate with other users. TorqueBase does not buy, sell, store, inspect, deliver, or warrant any items listed by users, and TorqueBase is not a party to any transaction between users.
All transactions are strictly between the buyer and the seller. Payments do not flow through TorqueBase. Any payment, delivery, shipping, returns, refunds, and handover arrangements occur outside the TorqueBase app and are the sole responsibility of the buyer and seller.
No payment processing / no buyer protection:
TorqueBase does not process payments, provide escrow services, guarantee payments, or provide buyer/seller protection for Buy&Sell transactions.
Listing accuracy and seller responsibility:
- Sellers must have the legal right to sell the item.
- Listings must be accurate and not misleading (including photos, condition, known defects, history, and compatibility/fitment information where relevant).
- Sellers are responsible for complying with all applicable laws (including consumer, safety, and product compliance requirements where relevant).
Buyer responsibilities:
- Buyers are responsible for verifying the seller and inspecting items (or obtaining independent inspections) before completing any transaction.
- Buyers should confirm authenticity, ownership, and condition before paying.
Safety and meetups:
- Users choose whether and where to meet and/or how to ship items. Users should take appropriate precautions when meeting in person or sharing information with others.
- TorqueBase is not responsible for any injury, loss, theft, damage, or disputes arising from in-person meetups, shipping, or private arrangements between users.
Prohibited items and conduct:
- You must not list, request, or attempt to trade items that are illegal, stolen, counterfeit, unsafe, or otherwise prohibited by law.
- You must not use Buy&Sell to facilitate fraud, scams, harassment, threats, exploitation, or any harmful conduct.
- Without limiting the above, prohibited listings include weapons and ammunition, explosives/fireworks, illegal drugs or controlled substances, stolen goods, counterfeit goods, and personal data.
Reports, moderation and enforcement:
- Users may report listings or users. TorqueBase may (but is not required to) review and take action, including removing listings/content, restricting features, or suspending/terminating accounts.
- TorqueBase may preserve information and share information with law enforcement or regulators where required or authorised by law, or to protect users and the integrity of the platform.
Disputes:
- Disputes regarding item condition, authenticity, delivery, refunds/returns, or payments must be resolved between the buyer and seller.
- TorqueBase does not guarantee outcomes, refunds, replacements, or chargeback support.
Marketplace risk acknowledgement:
- You acknowledge that Buy&Sell carries inherent risks (including scams, fraud, misrepresentation, defective goods, unsafe installation/use of parts, and personal safety risks during meetups), and you use Buy&Sell at your own risk.
Indemnity:
- You agree to indemnify TorqueBase from any claims, losses, liabilities, damages, costs, or expenses arising from your listings, communications, transactions, or breach of these Terms or applicable law.
